1. Acceptance of Terms

By accessing and using Validify Checkout Guard ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms of Service ("Terms") govern your use of our Shopify application and related services provided by Validify Checkout Guard.

2. Description of Service

Validify Checkout Guard is a Shopify application that allows merchants to create and manage checkout validation rules for their online stores. The Service includes:

• Rule creation and management tools
• Checkout validation processing
• Customer support services
• Documentation and resources

3. User Accounts and Registration

To use our Service, you must install the application through the Shopify App Store and have a valid Shopify merchant account. You are responsible for:

• Maintaining the confidentiality of your Shopify account
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring your use complies with applicable laws

4. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit harmful or malicious code
• Attempt to gain unauthorized access to our systems
• Use the Service for fraudulent or deceptive purposes
• Create rules that discriminate against protected classes
• Interfere with the proper functioning of the Service

5. Fees and Payment

The Service is provided on a subscription basis. Fees are billed in advance on a monthly or annual basis, depending on your selected plan. All fees are non-refundable except as expressly stated in our refund policy.

We reserve the right to change pricing with 30 days' notice. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Validify Checkout Guard and its licensors. The Service is protected by copyright, trademark, and other laws.

You retain ownership of any data and content you upload or create using the Service, subject to our right to use such data to provide the Service.

7. Data Privacy and Security

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You are responsible for maintaining the security of your Shopify store and any data you process through our Service.

8. Service Availability and Maintenance

We strive to provide continuous availability of the Service but do not guarantee uninterrupted access. We may perform maintenance, updates, or suspend the Service with reasonable notice when possible.

We are not liable for any damages resulting from service interruptions or downtime.

9. Termination

Either party may terminate this agreement at any time. Upon termination:

• Your access to the Service will cease immediately
• We will delete your data according to our data retention policy
• Outstanding fees will remain due
• Provisions that should survive termination will continue to apply

10. Disclaimers and Limitations of Liability

10.1 Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

10.2 Limitation of Liability

In no event shall Validify Checkout Guard be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

Our total liability shall not exceed the amount paid by you for the Service in the 12 months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Validify Checkout Guard and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses arising out of or relating to your use of the Service or violation of these Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Vietnam, without regard to its conflict of law provisions.

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of Vietnam International Arbitration Center (VIAC).

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

15. Entire Agreement

These Terms constitute the entire agreement between you and Validify Checkout Guard regarding the Service and supersede all prior agreements and understandings.
